Anyone who purchases a ticket to an Eden event is automatically enrolled as an Event Member for that event. This is not a marketing mechanism — it is the legal and community framework that makes Eden's adult events operable as private membership functions rather than public gatherings.
Event membership expires at the conclusion of the event. It carries no ongoing benefits, no annual dues, and no commitment. It does require age verification, identity confirmation, and written acknowledgment of Eden's consent framework — which is what makes every Eden event a private, vetted, consent-forward gathering.
Event Members may upgrade to Coral, Pearl, Aqua, or Obsidian membership at any time. Coral Card holders and above receive priority access to all Eden events before Event Member tickets are released to the general public.
Eden's adult events are structured as private membership club functions — the same legal framework used by adult lifestyle clubs and organized play events across the United States for decades. This is not a workaround. It is a well-established, legally sound structure that operates in every major US city.
Before anyone attends an adult Eden event, they become a member of Eden — even if only at the base Event Member tier. Membership requires age verification, identity verification, and written acknowledgment of Eden's consent framework. By the time someone walks through the door, they are a vetted adult member of a private organization — not a member of the general public at a public event.

Before we raise the capital to build the art car, we need to do the work that makes that raise possible — and credible. Eden is raising $200,000 from one or a small number of aligned early believers to fund the planning, IP protection, engineering validation, and legal structure required to turn this vision into a fully funded, build-ready project.
This raise is designed to be complete in itself. The goal is to execute Phase 1 work so thoroughly that we go into the Phase 2 build round with everything we need — and never have to return to Phase 1 investors asking for more. Any contingency funds not deployed in Phase 1 roll directly into reducing what Phase 2 needs to raise.
The line items above are estimates. Some will come in under. Some may run over. That is what the contingency is for — it is large by design, not an afterthought. If Phase 1 is executed efficiently and comes in under budget, that is not a problem. It means less capital needed in Phase 2, and better terms for everyone.
There is also a meaningful opportunity to reduce cash costs further through sweat equity arrangements. Eden expects that many contractors, designers, fabricators, performers, and vendors will want to be part of this project not just as hired hands, but as equity-holding community members. Eden is a consent-forward community. Any investor, note holder, or equity holder found to have violated our consent framework is subject to immediate removal from all Eden communities and mandatory buyout from the cap table — at principal plus interest if still a note holder, or at fair market value based on the last priced round if already converted to equity. This is not a legal provision buried in fine print. It is stated here, clearly, because it is who we are. Every person on the Eden cap table has agreed to this standard as a condition of being there.

The question is how much, and how fast — and that is what we cannot model with precision, so we have conservatively not modeled it beyond standard digital marketing ROI.
What it does not model is what happens when a 60-foot aquatic Eden art car — with live mermaids, a glowing aquarium, a carousel, a waterfall, fire, and a hidden grotto — appears in someone's social feed. What happens when an influencer posts their Aqua VIP experience from inside the car. What happens when a child's birthday party video goes viral. What happens when the LS community finds out there is finally a world built exactly for them.
Eden is the kind of thing that spreads itself — because nothing like it has ever existed. The projections above are what happens with traditional marketing. The upside is what happens when the world finds out.
This is aspirational. What follows represents what Eden could become if demand is strong, events are consistently sold out, and the brand has proven itself. None of this is assumed in the Phase 2 projections above. This is the picture of a thriving Eden — not a promise of one.

All bonds are refundable on resignation. Bond deposits are liabilities on the balance sheet, not revenue — but they provide meaningful working capital. Founding investors receive Obsidian Cards included in their investment — the rarest tier, 5 ever issued. Aqua Card annual dues are conservative — if demand significantly outpaces supply, dues can and will increase. All membership is a privilege, not a right — any card can be revoked for violation of Eden's consent framework, with refund of the bond.
Once Eden 1 has 12–18 months of operating history — proven revenue, a waitlist of members, and a community that has experienced it — the case for Eden 2 writes itself. Every additional vehicle benefits from established fabricator relationships, a proven design, bulk sourcing, and a touring infrastructure already built. The economics improve with each vehicle. The brand compounds.

Burning Man DMV approval for all planned features is not guaranteed. Certain elements — particularly water systems — require engineering documentation and may be modified or denied. Phase 1 engineering work specifically addresses this risk before significant capital is committed.
Art car fabrication is complex and bespoke. Costs could exceed projections due to materials, engineering complexity, or timeline delays. The Phase 1 engineering and budgeting process exists specifically to produce a realistic, contractor-verified number — not a guess.
The rental and deployment market for a premium art car at this scale is emerging rather than established. While demand indicators are strong, there is no historical revenue data for an asset of this type at this level.
BM DMV applications open annually in January. Missing that window means a full year delay. Fabricator availability and lead times are outside our control. The 2028 debut is the target — DMV approval is at Burning Man's discretion and cannot be guaranteed. If 2028 approval is not granted, 2029 is the contingency and the vision is unchanged.
Eden is pre-revenue. There is no guarantee of return on invested capital. The Phase 1 convertible note is an early-stage instrument. Investors should only commit capital they are prepared to lose in full.
Phase 1 funds the planning work that makes the Phase 2 raise possible. The Phase 2 raise itself — built to a $5M+ standard, funded by five Founding Members — is not guaranteed. If five aligned Founding Members cannot be identified and closed, the build timeline will be affected.
These risks are shared not to discourage — but because the right investor deserves the full picture. Eden is designed to mitigate every one of them systematically. That is what Phase 1 is for.
